These terms apply when you hire Dprime Solutions Pty Ltd (ABN 81 693 267 444) for design, development, or related services. By engaging our services, you agree to these terms. If something here doesn't work for your situation, let us know before we start and we can discuss it.
Every project starts with a proposal or quote that outlines exactly what we'll build, the timeline, and the cost. That document, combined with these terms, forms our agreement. If you want changes during the project, we'll discuss the impact on timeline and cost before proceeding.
For projects under $5,000: 50% deposit to start, 50% on completion before launch.
For projects over $5,000: We'll agree on a payment schedule in the proposal, typically split across milestones.
Invoices are due within 14 days unless otherwise agreed. We accept bank transfer and card payments. Late payments may incur a fee of 2% per month on outstanding amounts.
To keep projects on track, we need you to:
Delays on your end may push back the delivery date. If a project stalls for more than 30 days due to missing client input, we may need to close it out and bill for work completed.
Our quotes include a set number of revision rounds, typically two for design work. Minor tweaks within those rounds are included. Major changes or additional revision rounds will be quoted separately.
Changes requested after approval of a phase may incur additional charges. We'll always let you know before doing any work outside the original scope.
Once final payment is received, you own the deliverables we create specifically for your project. This includes custom designs, code, and content we produce.
We retain the right to use the work in our portfolio and for promotional purposes unless you request otherwise in writing.
Third party assets (fonts, stock images, plugins) remain subject to their own licenses. We'll let you know if any purchases are needed.
Website hosting and ongoing maintenance are separate services with their own terms. If you host with us, those terms will be provided when you sign up.
If you choose to host elsewhere, we'll hand over all files and credentials you need. We're not responsible for issues that occur after handover to a third party host.
We stand behind our work. If something we built has bugs or doesn't work as specified, we'll fix it at no extra charge within 30 days of launch.

Our total liability is limited to the amount you paid for the specific service in question.
If you need to cancel a project, let us know as soon as possible. You'll be invoiced for work completed up to that point. Deposits are non refundable once work has begun, as they cover initial time and resources allocated.
We reserve the right to cancel if payments are significantly overdue or if the working relationship breaks down.
We keep your business information confidential. We won't share details about your project, strategy, or data with third parties except as needed to deliver the work (for example, with hosting providers).
If you need a formal NDA, we're happy to sign one.
These terms are governed by the laws of New South Wales, Australia. If any part of these terms is found to be unenforceable, the rest remains in effect.
We may update these terms from time to time. Changes won't affect projects already underway.
